Terms & Conditions

These Terms & Conditions (“Terms”) apply to your use of [www.qmf.com] (the “Site”), operated by [Quality Metal Fabricators Ltd.] (“QMF”, “we”, “us”), 55 Steinway Blvd., Toronto, Ontario, Canada M9W 6H6.

By using the Site, you agree to these Terms and to our [Privacy Policy]. If you do not agree, please do not use the Site. If you use the Site for a company, you confirm that you are authorized to accept these Terms on its behalf.

The Site is meant for businesses and professionals interested in our metal fabrication and manufacturing services. You must be at least the age of majority where you live to contact us or make a request through the Site.

You may view and use the Site for lawful business purposes. You agree not to:

• Use the Site in a way that breaks any law
• Try to gain unauthorized access to the Site, our systems or other users’ information
• Upload or send viruses, malware or harmful code
• Send spam, or use automated tools (bots, scrapers) to collect content or information from the Site
• Interfere with the Site’s operation or security
• Pretend to be someone else, or give false information

We may restrict or end access to the Site for anyone who breaks these Terms.

The content on the Site, including descriptions of our capabilities, equipment, sectors, certifications and past work, is general information only. We try to keep it accurate and up to date, but we do not guarantee that it is complete, current or suitable for your specific project. Capabilities, equipment and certifications may change without notice.

The Site is not an offer to sell. Nothing on it creates a contract or a commitment to supply.

All quotes, prices, lead times, specifications and warranties are set out only in a written quotation, purchase order or agreement signed or issued by QMF. [Those documents are governed by our Terms and Conditions of Sale.] If those documents conflict with anything on the Site, the written documents win.

Submitting a request through the Site does not create a contract. We may decline any request.

You may share project details with us to request a quote. If you do:

• You confirm that you have the right to share them with us.
• We will treat drawings and technical information you send us as confidential and use them only to evaluate, quote and carry out your project, subject to any non-disclosure agreement between us.
• Do not send controlled goods, ITAR-controlled technical data, or other export-controlled or classified information through the Site’s contact form or by regular email. Contact us first, and we will arrange an approved, secure transfer method. You are responsible for meeting the export-control and controlled-goods requirements that apply to information you send.

Do not send confidential information through the contact form unless we have agreed on how it will be protected. Apart from Section 6, general feedback, suggestions or ideas you send us are not confidential, and we may use them without any obligation to you.

The Site and its content (text, photos, graphics, logos, design and layout) belong to QMF or its licensors and are protected by Canadian and international copyright and trademark laws. You may view, download or print pages for your own internal business use, as long as you keep all copyright notices. You may not copy, change, republish or use our content or logos for any other purpose without our written permission.

Other companies’ names and logos on the Site belong to their owners. Their mention describes our past work only and does not mean they endorse QMF.

The Site may link to websites or services we do not control, such as Google Maps. We are not responsible for their content, policies or practices. Using them is at your own risk and subject to their terms.

The Site is provided “as is” and “as available”. To the extent permitted by law, we make no promises or warranties about the Site, including that it will always be available, error-free, secure or free of viruses. This section does not limit any warranty in a written agreement between you and QMF, or any right you have that cannot be waived by law.

To the extent permitted by law, QMF and its directors, officers, employees and agents are not liable for any indirect, incidental, special or consequential losses (such as lost profits, lost data or business interruption) arising from your use of, or inability to use, the Site or its content, even if we were told such losses were possible.

These limits do not apply to liability that cannot be limited by law, including liability for our fraud, gross negligence or wilful misconduct, and do not affect any written agreement between you and QMF.

You agree to cover QMF for any reasonable claims, losses and costs (including reasonable legal fees) that arise from your breach of these Terms, your misuse of the Site, or your sending us information you did not have the right to share.

Our [Privacy Policy] explains how we handle personal information you share through the Site.

We may change, suspend or remove any part of the Site at any time. We may also update these Terms. The “Effective date” at the top shows when they last changed. If you keep using the Site after a change, you accept the updated Terms.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You agree that the courts of Ontario, sitting in Toronto, have exclusive jurisdiction over any dispute about these Terms or the Site, unless the law requires otherwise.

If any part of these Terms is found invalid or unenforceable, the rest remains in effect. If we do not enforce a right right away, we have not given it up. These Terms, together with our Privacy Policy, are the full agreement between you and QMF about use of the Site.
